Welcome to FerdyAI ("FerdyAI," "we," "us," or "our"), a generative AI tool developed by DWS designed to help you create marketing posts. By accessing or using FerdyAI (the "Service"), including through its integration with your Facebook account, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

1. Acceptance of Terms

These Terms govern your use of FerdyAI, including any features, updates, or integrations (such as with Facebook). We may update these Terms from time to time, and the updated version will be effective as of the "Last Updated" date above. We will notify you of significant changes via the Service or by email. Your continued use of FerdyAI after such changes constitutes your acceptance of the updated Terms.

2. Description of the Service

FerdyAI is a generative AI tool that assists users in creating marketing posts, such as text, captions, or other content, which may be shared on platforms like Facebook. The Service uses artificial intelligence to generate content based on user inputs and preferences. You are responsible for reviewing and editing any content generated by FerdyAI before posting or distributing it.

3. Eligibility

To use FerdyAI, you must:

Not be prohibited from using the Service under applicable law or by any prior suspension/termination from FerdyAI.

4. Account and Access

a. Facebook Integration

FerdyAI may require you to connect your Facebook account to use certain features. You agree to provide accurate information when linking your account and to comply with Meta’s Platform Policies.

b. Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Notify us immediately at neil@dws.cloud if you suspect unauthorized use of your account.

5. License and Usage

a. License Grant

DWS grants you a limited, non-exclusive, non-transferable, revocable license to use FerdyAI for personal or commercial marketing purposes, subject to these Terms.

b. Restrictions

You may not:

Reverse engineer, decompile, or attempt to extract the source code of FerdyAI.

Use FerdyAI to generate illegal, harmful, or offensive content (e.g., hate speech, misinformation, or content violating third-party rights).

Share, sublicense, or resell access to FerdyAI without our written consent.

Use FerdyAI in a way that violates Meta’s policies or any applicable laws.

6. User Content and Generated Content

a. Your Input

You retain ownership of any text, preferences, or other data ("User Content") you provide to FerdyAI. By submitting User Content, you grant DWS a worldwide, non-exclusive, royalty-free license to use, process, and modify it solely to provide and improve the Service.

b. Generated Content

FerdyAI generates marketing posts ("Generated Content") based on your inputs. You are granted a non-exclusive, perpetual license to use Generated Content for your marketing purposes, provided you comply with these Terms. We do not claim ownership of Generated Content, but we may use anonymized data from your interactions to improve FerdyAI.

c. Responsibility

You are solely responsible for the use of Generated Content, including ensuring it complies with applicable laws, platform policies (e.g., Facebook’s Community Standards), and third-party rights (e.g., copyrights, trademarks).

7. Intellectual Property

FerdyAI, including its AI technology, design, and branding, is owned by DWS and protected by intellectual property laws. You may not use our trademarks, logos, or other proprietary materials without prior written permission.

8. Fees and Payment (If Applicable)

c. Effect of Termination

Upon termination, your license to use FerdyAI ends, but these Terms’ provisions on intellectual property, liability, and dispute resolution survive.

FerdyAI is provided "as is" and "as available." DWS does not guarantee:

That the Service will be uninterrupted, error-free, or meet your expectations.

The accuracy, quality, or legality of Generated Content. You use FerdyAI at your own risk, and we are not liable for any decisions or actions you take based on Generated Content.

11. Limitation of Liability

To the fullest extent permitted by law, DWS, its affiliates, and their respective officers, directors, and employees will not be liable for indirect, incidental, consequential, or punitive damages arising from your use of FerdyAI, including loss of profits, data, or goodwill. Our total liability will not exceed the amount you paid us (if any) in the preceding 12 months.

12. Indemnification

You agree to indemnify and hold DWS harmless from any claims, losses, or damages (including legal fees) arising from your use of FerdyAI, your violation of these Terms, or your infringement of third-party rights.

13. Governing Law and Dispute Resolution
